PartnerScope® Terms of Service
Effective Date: October 26, 2026
Last Updated: October 26, 2026
These Terms of Service ("Terms") are a binding agreement between you and Evolve Growth Partners, LLC, an Ohio limited liability company ("EGP," "we," "us," or "our"). They govern your access to and use of PartnerScope®, including the website, application, assessments, reports, scoring, and all related content and services (together, the "Service").
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER (SECTION 18), LIMITATIONS ON OUR LIABILITY (SECTIONS 14 AND 15), AND A BROAD LICENSE TO OUR USE OF DE-IDENTIFIED DATA (SECTION 8). IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
1. Acceptance and Authority
1.1 By creating an account, clicking "I agree," accessing the Service, or using it in any way, you accept these Terms and our Privacy Policy, which is incorporated by reference.
1.2 If you use the Service on behalf of a company or other entity, you represent and warrant that you have authority to bind that entity. In that case, “you” means that entity. If you do not have that authority, you agree that you are personally bound by these Terms.
1.3 The Service is intended for business use only. It is not offered to consumers for personal, family, or household purposes, and you represent that you are using it solely for business purposes.
2. Eligibility
2.1 You must be at least 18 years old and capable of forming a binding contract.
2.2 You may not use the Service if you have previously been suspended or removed by us, or if applicable law prohibits you from using it.
3. License and Access
3.1 Limited License. Subject to these Terms and payment of all applicable fees, EGP grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service during your subscription or license term, solely for your internal business purposes and solely to evaluate and manage partnership relationships.
3.2 License Types. We may offer different license tiers, seat counts, assessment volumes, or usage limits. The scope of your license is defined by your order form, subscription plan, or invoice. Use beyond that scope is a breach of these Terms.
3.3 Reservation of Rights. The Service is licensed, not sold. EGP and its licensors retain all right, title, and interest in the Service, including the PartnerScope® name, methodology, framework, questions, scoring models, algorithms, weightings, benchmarks, reports, software, interfaces, and all improvements and derivative works. No rights are granted except those expressly stated in these Terms.
3.4 Restrictions. You will not, and will not permit anyone else to: (a) copy, modify, translate, or create derivative works of the Service or its methodology; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code, scoring logic, or underlying methodology of the Service; (c) resell, sublicense, rent, lease, distribute, or otherwise make the Service available to any third party, or use it to provide a competing product or service; (d) use the Service, its outputs, or its questions to build, train, benchmark, or improve any competing framework, product, dataset, or machine learning or artificial intelligence model; (e) scrape, crawl, or use automated means to access the Service, except through interfaces we expressly provide; (f) interfere with or disrupt the Service, or probe, scan, or test its vulnerability; (g) circumvent any access control, usage limit, or security feature; (h) remove or obscure any proprietary notices; (i) publicly disclose benchmark results, performance comparisons, or the structure and content of the assessments without our prior written consent; (j) use the Service in violation of any law or the rights of any third party.
4. Accounts and Security
4.1 You are responsible for all activity under your account and for maintaining the confidentiality of your credentials. You must notify us immediately of any unauthorized access.
4.2 You are responsible for ensuring that every person you invite or authorize to use the Service complies with these Terms. Their acts and omissions are yours.
4.3 You must provide accurate, current, and complete registration information and keep it updated.
4.4 Third-Party Sign-In. If you create an account or sign in using a third-party account, such as Google, you are responsible for that account and for keeping it secure. Your use of the third-party account is governed by that provider's terms and privacy policy, and we are not responsible for the provider's services, outages, or practices. We may receive information from the provider as described in our Privacy Policy. If you lose access to the third-party account, we may be unable to restore access to your PartnerScope® account.
5. Partnership Assessments and Invitations
5.1 PartnerScope® is designed to assess partnerships between two sides. One party may invite a counterparty ("Partner") to participate in an assessment.
5.2 If you invite a Partner, you represent and warrant that you have the right and authority to provide their contact information to us, that doing so does not violate any law or agreement, and that you will not invite anyone who has asked not to be contacted. We may send invitations and related communications on your behalf and in our own name.
5.3 If you are invited to participate, your participation is voluntary, and by participating you agree to these Terms.
5.4 You are solely responsible for the accuracy and completeness of the information you submit. We do not verify submissions and have no obligation to do so.
6. How Assessment Results Are Shared
A. Intended Sharing Between the Two Sides
6.1 How Sharing Works. PartnerScope® assesses a partnership from both sides. When you invite a Partner to complete an assessment, or when you accept an invitation to complete one, results will be shared between the two sides as described in the Service at the time you participate. Shared information may include your responses, scores, comparative results, gap analyses, and reports. We decide, in our sole discretion, what is shared, in what form, and when, and we may change these settings at any time.
6.2 Your Consent. Before you send an invitation, and before you begin an assessment you were invited to, the Service will display a notice explaining that your information will be shared with the other side. By sending the invitation or starting the assessment, you give your informed and voluntary consent to that sharing. You may decline by not sending the invitation or not starting the assessment. We keep a record of your consent, and you agree that the record is conclusive evidence of it.
6.3 No Confidentiality Between Participants. Except as expressly stated in the Service, we do not guarantee that anything you submit will be kept confidential from the other side. Do not submit anything you are not prepared to have your Partner see. You are solely responsible for what you choose to submit.
6.4 Your Partner's Conduct. We are not responsible or liable for how your Partner uses, discloses, interprets, or acts on any results, and we do not promise that your Partner will keep results confidential. Any confidentiality obligations between you and your Partner are a matter solely between the two of you.
6.5 Our Right to Withhold or Limit. We may decline to share, delay, redact, or limit any result at any time, including where we believe doing so is required by law or appropriate to protect any party, the Service, or EGP.
6.6 Disputes Between Participants. Any dispute between you and your Partner is solely between you. We are not a party to it, will not mediate it, and have no liability for it.
B. Unintended or Misdirected Disclosures
6.7 Acknowledgment. Despite reasonable safeguards, information may be disclosed to the wrong person or entity by mistake. This can happen through our error, your error, your Partner's error, an error in contact details you or a Partner provided, forwarding or sharing of a link or login, or the acts of a third party. You acknowledge this risk and accept it as a condition of using the Service.
6.8 Contact Information You Provide. You are responsible for the accuracy of every email address and other contact detail you enter. We are not liable for any disclosure that results from incorrect, outdated, or shared contact information, or from a Partner or any other person giving access to someone else.
6.9 Duties of Anyone Who Receives Information in Error. If you receive information that was not meant for you, you must: (a) not read further, use, copy, or disclose it; (b) notify us promptly at legal@evolvegrowthpartners.com; and (c) delete it and any copies on our request. We may take reasonable steps to retrieve, suppress, or disable access to misdirected information, and you will cooperate.
6.10 Notice. If we determine that information has been disclosed in error and notice is required by law, we will give the notice the law requires, in the form and timing the law requires. Beyond that, we have no obligation to notify any person or to take any particular remedial step.
6.11 Not a Breach. A misdirected disclosure is not, by itself, a breach of these Terms or of any warranty, covenant, or duty by EGP. As between you and EGP, our liability for any misdirected disclosure is subject to the limitations and exclusions in Sections 14 and 15, to the fullest extent permitted by law.
6.12 Your Responsibility for Your Own Misdirection. If you cause information to be sent to the wrong person, including by mistyping an address, forwarding a link, or inviting the wrong Partner, you are responsible for the consequences, and Section 16 applies.
7. Your Content
7.1 "Your Content" means all information, responses, data, and materials you submit to or through the Service. As between you and EGP, you retain whatever ownership you have in Your Content, subject to the licenses in these Terms.
7.2 License to EGP. You grant EGP a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license, for as long as we hold Your Content, to host, store, reproduce, process, analyze, adapt, display, and use Your Content to: (a) provide, operate, maintain, secure, and improve the Service; (b) generate assessments, scores, reports, and results, including sharing them as described in Section 6; (c) comply with law and enforce these Terms; and (d) create De-Identified Data as described in Section 8.
7.3 Your Representations. You represent and warrant that you own or have all rights necessary to submit Your Content and grant the licenses above, that Your Content is accurate and not misleading, that it does not infringe or misappropriate any third-party right, and that its submission does not breach any contract, confidentiality obligation, or law. You will not submit trade secrets of third parties, personal data beyond what the Service requests, or any sensitive personal information, health information, payment card data, or government identifiers.
7.4 Feedback. If you give us suggestions, ideas, or feedback about the Service, we may use them freely for any purpose without payment, attribution, or restriction, and you assign to us any rights you may have in them.
8. De-Identified and Aggregated Data
8.1 Our Right to Use. EGP may collect, create, and use data derived from the Service and from Your Content in de-identified and aggregated form ("De-Identified Data") for any lawful business purpose, including research, benchmarking, analytics, product development, model and methodology development, marketing, and publications, reports, and presentations.
8.2 What De-Identified Data Means. De-Identified Data is data that has been processed so that it does not identify, and could not reasonably be used to identify, a specific customer, partner company, or individual. We will not name a customer, a partner company, or a person in any publication of De-Identified Data. We will not attempt to re-identify De-Identified Data, and we will contractually require any recipient of it to do the same.
8.3 Ownership. As between you and EGP, EGP exclusively owns all right, title, and interest in De-Identified Data and all benchmarks, indices, insights, and analyses derived from it. You assign to EGP any rights you may have in De-Identified Data.
8.4 Survival. EGP's rights under this Section survive any termination or expiration of these Terms or your account and are not affected by deletion of Your Content or your account.
9. Fees and Payment
9.1 You will pay all fees stated in your order form, plan, or invoice. Unless stated otherwise, fees are quoted in U.S. dollars, are due in advance, and are non-cancellable and non-refundable.
9.2 Subscriptions renew automatically for successive terms equal to the initial term unless you cancel before the renewal date in the manner we specify. We may change fees on notice, effective at the next renewal.
9.3 You are responsible for all taxes, duties, and similar charges, other than taxes on our net income. If payment is late, we may charge interest at the lesser of 1.5% per month or the maximum rate permitted by law, suspend the Service, and recover all costs of collection, including reasonable attorneys' fees.
9.4 You may not withhold or set off any amounts owed to us.
10. Confidentiality of the Service
The Service, its methodology, questions, scoring logic, non-public pricing, and any non-public information we disclose to you are our Confidential Information. You will use it only to use the Service as permitted, protect it with at least reasonable care, and not disclose it to any third party. This obligation survives for five years after termination, and indefinitely for trade secrets.
11. Third-Party Services and Content
The Service may link to or integrate third-party services. We do not control and are not responsible for them. Your use of them is at your own risk and subject to their terms. We may display or incorporate third-party data and are not responsible for its accuracy.
12. Nature of Results; No Professional Advice
12.1 PartnerScope® results are general informational and analytical outputs based on the inputs provided by you, your Partner, and others. They are not legal, financial, tax, accounting, investment, HR, or other professional advice, and they are not a guarantee, prediction, or promise of any business outcome.
12.2 Scores and recommendations are subjective, depend on the quality of inputs we do not control, and may be incomplete, inaccurate, or out of date. You are solely responsible for all decisions you make and actions you take or do not take based on the Service, including decisions to enter, continue, change, or end any partnership.
12.3 No attorney-client, fiduciary, advisory, or consulting relationship is created by your use of the Service. Any consulting services from EGP require a separate written agreement.
13. Suspension and Termination
13.1 We may suspend or terminate your access to the Service, with or without notice, at any time and for any reason or no reason, including if we believe you have breached these Terms, if required by law, or if continuing to provide the Service becomes impractical.
13.2 You may stop using the Service at any time. Cancellation does not entitle you to a refund of prepaid fees.
13.3 On termination, your license ends immediately. We may delete Your Content after a period we choose, and we have no obligation to retain or return it. Sections 3.3, 3.4, 6 (to the extent of results already shared), 7, 8, 9, 10, 12, and 13 through 22 survive termination.
14. Disclaimer of Warranties
14.1 THE SERVICE AND ALL RESULTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. TO THE FULLEST EXTENT PERMITTED BY LAW, EGP AND ITS AFFILIATES, LICENSORS, AND SUPPLIERS DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
14.2 WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT RESULTS WILL BE ACCURATE, COMPLETE, OR RELIABLE, OR THAT USE OF THE SERVICE WILL ACHIEVE ANY RESULT OR OUTCOME.
14.3 NO ADVICE OR INFORMATION, ORAL OR WRITTEN, OBTAINED FROM EGP CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
15. Limitation of Liability
15.1 Exclusion of Damages. TO THE FULLEST EXTENT PERMITTED BY LAW, EGP AND ITS AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15.2 Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF EGP AND ITS AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SUPPLIERS FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO EGP FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
15.3 Basis of the Bargain. THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. YOU ACKNOWLEDGE THAT THE FEES REFLECT THIS ALLOCATION OF RISK AND THAT EGP WOULD NOT PROVIDE THE SERVICE WITHOUT THESE LIMITATIONS.
15.4 Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you. In that case, our liability is limited to the maximum extent permitted by law.
16. Indemnification
You will defend, indemnify, and hold harmless EGP and its affiliates, owners, officers, directors, employees, contractors, licensors, and agents from and against all claims, demands, actions, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Content; (b) your use or misuse of the Service; (c) your breach of these Terms or any law; (d) your invitation of, communications with, or dealings with any Partner or other third party; (e) any decision or action you take based on the Service; or (f) any claim by your Partner or any third party relating to results shared through the Service. We may assume exclusive control of the defense of any matter, and you will cooperate. You may not settle any claim that affects EGP without our prior written consent.
17. Governing Law
These Terms and any dispute arising from them are governed by the laws of the State of Ohio, without regard to conflict of laws principles. The Uniform Computer Information Transactions Act and the United Nations Convention on Contracts for the International Sale of Goods do not apply.
18. Dispute Resolution; Arbitration; Class Action Waiver
18.1 Informal Resolution. Before filing any claim, you must send written notice describing the dispute to legal@evolvegrowthpartners.com, with a copy by mail to 8530 Silver Oak Ct, Springboro, OH 45066, and give us 60 days to resolve it.
18.2 Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including the scope or enforceability of this Section, will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be conducted by a single arbitrator, in Warren County, Ohio, in English. Judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs this Section.
18.3 Class Action and Jury Waiver. YOU AND EGP EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS.
18.4 Exceptions. Either party may seek injunctive or other equitable relief in court to protect its intellectual property or Confidential Information, and EGP may bring an action in court to collect unpaid fees. For any matter permitted in court, you consent to the exclusive jurisdiction and venue of the state courts located in Warren County, Ohio, or, where federal jurisdiction exists, the United States District Court for the Southern District of Ohio, and waive any objection to that venue.
18.5 Limitation Period. Any claim you have against EGP must be filed within one (1) year after the claim arises, or it is permanently barred.
18.6 Costs. Each party bears its own costs, except that the arbitrator may award the prevailing party its reasonable attorneys' fees and costs, and EGP is entitled to recover its fees and costs in any action to enforce Sections 3, 8, 9, 10, or 16.
18.7 Opt-Out. You may opt out of the arbitration agreement in this Section 18 by emailing legal@evolvegrowthpartners.com within 30 days of first accepting these Terms, with your name, your company name, and the words "Arbitration Opt-Out." If you opt out, the rest of these Terms still apply, and disputes will be resolved in the courts identified in Section 18.4.
19. Copyright Complaints
If you believe content on the Service infringes your copyright, send a notice that meets the requirements of 17 U.S.C. § 512(c)(3) to our designated agent: DMCA Agent, Evolve Growth Partners, LLC, 8530 Silver Oak Ct, Springboro, OH 45066, dmca@evolvegrowthpartners.com.
20. Equitable Relief
You acknowledge that a breach of Sections 3, 8, or 10 would cause EGP irreparable harm for which damages would be inadequate. EGP may seek injunctive relief without posting a bond, in addition to any other remedy.
21. Changes to the Service and to These Terms
21.1 We may modify, suspend, or discontinue any part of the Service at any time without liability.
21.2 We may update these Terms at any time by posting the revised version and updating the date above, or by notifying you by email or in the Service. Changes take effect when posted unless we state otherwise. Your continued use after the effective date is your acceptance. If you do not agree to a change, you must stop using the Service.
22. General
22.1 Entire Agreement. These Terms, the Privacy Policy, and any order form together are the entire agreement between you and EGP on this subject and supersede all prior understandings. If an order form signed by EGP conflicts with these Terms, the order form controls only as to the specific term it addresses.
22.2 Severability. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the remainder stays in effect. If the class action waiver in Section 18.3 is held unenforceable as to any claim, that claim will proceed in court and not in arbitration.
22.3 No Waiver. Our failure to enforce any provision is not a waiver of it.
22.4 Assignment. You may not assign or transfer these Terms or your account without our prior written consent. EGP may assign these Terms freely, including in connection with a merger, acquisition, financing, or sale of assets. Any prohibited assignment by you is void.
22.5 Force Majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including outages of internet, hosting, or third-party services, labor disputes, natural disasters, war, terrorism, government action, or pandemics.
22.6 Independent Parties. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, or employment relationship, including between EGP and you or between you and your Partner.
22.7 No Third-Party Beneficiaries. There are no third-party beneficiaries to these Terms, except that EGP's affiliates, owners, officers, directors, employees, contractors, licensors, and suppliers may enforce the protections in Sections 14, 15, and 16.
22.8 Export and Sanctions. You will comply with all applicable export control and sanctions laws and will not use the Service if you are located in, or are owned or controlled by anyone in, a sanctioned country or on a restricted party list.
22.9 Electronic Communications and Signatures. You consent to receive notices electronically and agree that electronic acceptance of these Terms is a valid signature.
22.10 Interpretation. Headings are for convenience only. "Including" means "including without limitation." These Terms will not be construed against EGP as the drafter.
22.11 Trademarks. PartnerScope®, Evolve Growth Partners, and related names and logos are trademarks of EGP. You may not use them without our prior written permission.
22.12 International Use. The Service is operated from the United States. We make no promise that it is appropriate or lawful for use in other countries. If you use the Service from outside the United States, you do so on your own initiative and are responsible for complying with the local laws that apply to you.
